Terms of Service

Please read these terms carefully before using our services.

1. Agreement to Terms

By accessing or using the services provided by CodientLabs ("Company", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, then you may not access the Service.

2. Services

CodientLabs provides web development, SEO, digital marketing, branding, UI/UX design, and other related digital services ("Services"). The specific scope of Services for each client will be detailed in a separate Service Agreement or Statement of Work.

3. User Responsibilities

You agree to provide accurate and complete information when requested for the provision of Services. You are responsible for maintaining the confidentiality of any account information and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

4. Intellectual Property

All content, designs, and materials created by CodientLabs as part of the Services, unless otherwise agreed in writing, remain the intellectual property of CodientLabs until full payment for the Services is received. Upon full payment, ownership of the final deliverables (e.g., website code, design files) as specified in the Service Agreement will be transferred to you. We reserve the right to showcase work performed for you in our portfolio and marketing materials, unless otherwise agreed.

Any pre-existing materials or third-party tools used in the provision of Services will retain their original ownership and licensing terms.

5. Payment Terms

Payment terms will be outlined in the Service Agreement or invoice. Typically, projects require an upfront deposit, with subsequent payments due at specified milestones or on a recurring basis for ongoing services. Late payments may incur interest charges or result in a suspension of Services.

6. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of the project. This includes business strategies, client data, and trade secrets. This obligation of confidentiality will survive the termination of the Services.

7. Limitation of Liability

To the maximum extent permitted by law, CodientLabs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the Services; (b) any conduct or content of any third party on the Services; (c) any content obtained from the Services; and (d) unauthorized access, use, or alteration of your transmissions or content.

Our total liability for any claim arising out of or relating to these Terms or the Services is limited to the amount you paid us for the Services in the 6 months preceding the claim.

8. Termination

Either party may terminate the Service Agreement with written notice if the other party breaches a material term of the agreement and fails to cure such breach within a specified period (e.g., 30 days). Upon termination, you agree to pay for all Services rendered up to the date of termination.

9. Governing Law

These Terms shall be governed and construed in accordance with the laws of UtterPradesh, India, without regard to its conflict of law provisions.

10. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
